On September 30, 2026, the ChiNext listing review information website of the Shenzhen Stock Exchange (SZSE) updated the application status for Qingdao Magene Intelligence Technology Co., Ltd. (Magene), a Chinese cycling technology manufacturer, changing its status from “Under Inquiry” to “Suspended.” The reason provided in the official disclosure states: “Financial data recorded in the IPO application documents has expired and requires supplementary submission.”

Under ChiNext listing rules, financial statements referenced in a prospectus remain valid for six months following the end of the most recent reporting period. The expiration of financial documents is a standard condition for review suspension. Industry analysts note that once the issuer completes the data update and resolves the suspension cause, it may apply for the review to resume. Thus, this suspension represents a routine phase-based pause in the IPO review process rather than a rejection of the listing application.

Four-and-a-Half-Year Advisory Period Precedes Proposed 749 Million RMB IPO

Founded in December 2015, Magene is headquartered in Chengyang District, Qingdao, Shandong Province, China, with a registered capital of 55.05 million RMB (~$7.86 million USD). The company focuses on the R&D, production, and sales of smart cycling hardware and software, operating two major core brands: Magene and Onelap.

According to third-party data cited in the prospectus, Magene ranked first globally in smart bike trainer shipments in 2024 with 250,000 units delivered worldwide, serving customers across more than 100 countries and regions. The Chinese company is recognized as a national-level “Little Giant” enterprise specializing in niche tech sectors and serves as an official partner to UCI WorldTour professional cycling teams.

Magene’s IPO preparation spanned several years. The company initiated listing guidance in November 2021 with Huaxing Securities, completing 18 guidance phases over four and a half years before securing its advisory completion report on May 8, 2026. On May 29, the SZSE officially accepted Magene’s ChiNext IPO application. Magene aims to raise 749 million RMB (~$107.00 million USD) to fund the second phase of its manufacturing base, smart cycling product R&D, digital and brand marketing upgrades, and working capital expansion.

On June 22, the project entered the “Under Inquiry” stage. The SZSE issued its initial inquiry letter, focusing on client concentration, technology independence, business growth potential, and ongoing operational viability. On September 23, Magene and its intermediaries submitted their official responses to the inquiry.
Regarding corporate governance, Yu Feng, Chairman and General Manager, serves as the controlling shareholder and actual controller, holding over 60% of voting rights directly and through three equity holding platforms.

Key Issues Under Scrutiny: Customer Concentration and Margin Pressures

Financial records show rapid growth over the past three fiscal years:
• Revenue: Escalated from 228 million RMB (~$32.57 million USD) in 2023 to 543 million RMB (~$77.57 million USD) in 2024, reaching 800 million RMB (~$114.29 million USD) in 2025—representing a compound annual growth rate (CAGR) of 87.25%.
• Net Profit: Attributable net profit reached 122 million RMB (~$17.43 million USD) in 2025, successfully turning around from previous net losses in 2023.

However, regulators highlighted three prominent figures in their inquiry:

1. High Customer Concentration: Revenue derived from US-based cycling brand Wahoo Fitness grew from 7.56% of total revenue in 2023 to 41.72% in 2024, reaching 50.13% in 2025 (amounting to 401 million RMB (~$57.29 million USD)). Furthermore, the revenue contribution from Magene’s top five customers rose from 22.13% to 67.23% during the same period. As the primary original design manufacturer (ODM) for Wahoo’s bike trainers, demand fluctuations from this single client directly impact more than half of Magene’s total revenue.

2. Falling Product Average Selling Prices (ASP): Prospectus data indicates that average selling prices for Magene’s smart bike trainers declined over three years from 1,464.66 RMB (~$209.24 USD) to 1,196.45 RMB (~$170.92 USD)—a reduction of 268 RMB (~$38.29 USD) per unit.

3. Margin Compression: Consequently, consolidated gross profit margin dropped from 45.76% to 38.11%. Magene explained in its inquiry response that ODM product pricing must allow sufficient margin for brand partners and distribution channels, while its proprietary brand also strategically adjusted prices across select channels in 2025 to maintain market competitiveness.

Corporate Background & Future Outlook

Company Background:
According to official corporate disclosures, Qingdao Magene Intelligence Technology Co., Ltd. is a Chinese technology innovation enterprise guided by its mission to “make cycling scientifically smart and enjoyable.” Deeply rooted in smart cycling and sports technology, Magene operates across both Consumer (To C) and Enterprise (To B) segments. Leveraging core technologies in high-precision sensors, proprietary motion algorithms, intelligent control, and multi-dimensional data interconnection, Magene offers an integrated “software + hardware” product portfolio. Its offerings span indoor smart bike trainers, GPS bike computers, power meters (including pedal-, spider-, and crank-based units), heart rate monitors, electronic shifting systems, and the Onelap virtual cycling software platform, serving millions of cycling enthusiasts worldwide.

In the global cycling technology supply chain, Chinese manufacturers have long served primarily in manufacturing and ODM roles, with high-margin branding and terminal pricing power retained by overseas brands. Magene’s current operational model reflects these broader structural characteristics of the industry.

Attention now centers on when Magene will complete its updated financial audit and apply to resume its ChiNext review process. For this Qingdao-based Chinese sports tech pioneer, resolving key issues—such as client concentration risks, pricing power in ODM partnerships, margin preservation, and balancing proprietary brand growth with OEM/ODM manufacturing—remains essential as it moves toward its ultimate listing goals.
